General Terms and Conditions

Effective from 3 October 2026

1. Introductory provisions

1.1 These General Terms and Conditions (the “GTC”) govern relations in the sale of goods and the provision of services by Computer Controls s.r.o., Company ID 63676991, with its registered office at Jana Babáka 2733/11, 612 00 Brno, registered in the Commercial Register kept by the Regional Court in Brno, Section C, File 143867 (the “Seller”), and its customers (the “Buyer”). Legal relations are governed by Act No. 89/2012 Coll., the Civil Code (the “Civil Code”).

1.2 The GTC apply unless the parties agree otherwise in writing. Different or conflicting terms and conditions of the Buyer do not apply unless the Seller has expressly accepted them in writing. The GTC also apply to future transactions between the parties.

1.3 The Buyer is either a business acting in the course of its business activity, or a consumer. The provisions of Section 11 apply only in relation to a consumer. The consumer’s rights guaranteed by mandatory provisions of law are not affected by these GTC.

2. Offer and conclusion of the contract

2.1 Information on prices and delivery times stated on the website or in catalogues is not a binding proposal to conclude a contract. The proposal is only the Buyer’s order. The contract is concluded by the Seller’s confirmation of the order (in writing or by e-mail), or by commencement of performance of the order.

2.2 A price quotation designated as an “offer” is binding only for the validity period stated in it and under the terms of these GTC.

2.3 Catalogues, data sheets and information on product parameters are non-binding; the design, technical data and execution may change.

3. Prices and payment terms

3.1 Prices are stated exclusive of value added tax (VAT), which is charged at the statutory rate, and exclusive of packaging and transport costs, unless expressly agreed otherwise. The price is set ex works from the Seller’s warehouse (EXW), unless agreed otherwise.

3.2 The purchase price is payable within 30 days of the issue of the invoice. In the event of delay, default interest of 5% p.a. is agreed, without prejudice to the Seller’s right to compensation for further damage.

3.3 The Buyer may unilaterally set off only undisputed claims or claims established by a final judgment. The Buyer may exercise a right of retention only in respect of claims arising from the same contractual relationship.

4. Delivery, transfer of risk of damage

4.1 Delivery of the goods is conditional on proper and timely performance of the Buyer’s obligations. Delivery times are indicative and the Seller will meet them where possible. If delivery is delayed by more than twice the stated delivery time and at the same time by more than 180 days, either party may withdraw from the contract; no further claims arise from this.

4.2 Unless otherwise agreed, the Buyer bears the costs of transport and packaging. The risk of damage to the goods passes to the Buyer on taking delivery; in the case of a business, already at the moment the goods are handed over to the carrier, if transport takes place at the Buyer’s request (Section 2121 of the Civil Code). If the Buyer is in delay in taking delivery, the risk of damage passes to the Buyer at the moment of the delay.

4.3 The Buyer is obliged to inspect the consignment on receipt and to notify the Seller in writing of any damage during transport within 8 days of receipt, together with the carrier’s record of the damage.

5. Retention of title

5.1 The goods remain the property of the Seller until the purchase price has been paid in full (Section 2132 of the Civil Code). In the event of a breach of contract by the Buyer, including delay in payment, the Seller is entitled to take back the goods.

5.2 The Buyer must properly look after, adequately insure and maintain goods subject to retention of title. If a third party asserts rights to the goods, the Buyer is obliged to notify the Seller in writing without delay.

5.3 The Buyer is entitled to resell goods subject to retention of title in the ordinary course of business; in that case the Buyer assigns the receivables from the resale to the Seller. As long as the Buyer properly fulfils its payment obligations, the Seller does not itself enforce these receivables. If the value of the security exceeds the secured receivable by more than 10%, the Seller will, at the Buyer’s request, release an appropriate part of the security.

6. Liability for defects (businesses)

6.1 Rights from defective performance arise from the Civil Code, with the following modifications in relation to a business. The Buyer is obliged to inspect the goods without undue delay, at the latest within 10 calendar days after receipt, and to notify any defects found. Defects discovered later must be notified within 10 calendar days of discovery, but no later than 12 months from receipt; rights asserted later lapse.

6.2 In the event of delivery of defective or incorrect goods or delivery in insufficient quantity, the Buyer has the right to free remedy of the defect by delivery of replacement goods or by repair at the usual place of delivery; the choice is the Seller’s. The Seller may refuse the requested remedy if it proves that it is impossible or disproportionate. The Buyer may set a reasonable period for remedy, of at least 30 days; if the period expires without result, the Buyer has the right to an appropriate discount on the price or, unless the defect is insignificant, to withdraw from the contract.

6.3 The warranty does not apply in particular to:

  • components and spare parts whose service life is shorter than one year after the expiry of their expected service life determined by the Seller according to the manufacturer’s data;
  • electronic components and modules after they have been soldered;
  • damage caused by improper handling and products with broken seals;
  • goods and parts that the Seller did not supply;
  • cases where repairs or modifications were carried out by a person other than the Seller, without its prior written consent;
  • defects caused by unsuitable preparation or maintenance of the installation site, incorrect installation, operation or maintenance by the Buyer, software or third-party products not supported by the Seller, or unapproved modifications of the product;
  • functional defects caused by special local conditions and influences.

6.4 Goods under complaint may be sent to the Seller only with its consent. The Buyer bears the costs of transporting the goods under complaint; if the Seller does not acknowledge the defect, the Buyer also bears the costs of return transport. If the Seller acknowledges the defect and agrees to the goods being delivered to it, the Seller bears all transport costs.

6.5 User manuals and wiring diagrams enclosed with the products are subject to the manufacturer’s general terms.

7. Limitation of liability

7.1 The Seller is liable for damage caused intentionally or by gross negligence and for breach of essential contractual obligations; unless the breach is intentional, liability is limited to typically foreseeable damage. Liability for injury to life and health and liability for product defects under Act No. 59/1998 Coll. remains unaffected.

7.2 In relation to businesses, the Seller’s liability beyond the above is excluded to the maximum extent permitted by law.

8. Export and re-export

The Buyer undertakes to comply with applicable EU and Czech export control legislation, in particular Regulation (EU) 2021/821 on dual-use items, and with international sanctions. The goods may be re-exported outside the EU only in compliance with these regulations and, where applicable, after obtaining the authorisation of the competent authority. The Buyer is obliged to impose this obligation on any further acquirer of the goods.

9. Personal data protection

The processing of personal data is governed by the Privacy Policy.

10. Governing law and dispute resolution (businesses)

10.1 The contractual relationship is governed by the law of the Czech Republic. The application of the UN Convention on Contracts for the International Sale of Goods is excluded.

10.2 The courts of the Czech Republic have jurisdiction to resolve disputes with businesses; the court with local jurisdiction is the one at the Seller’s registered office.

11. Special provisions for consumers

11.1 Withdrawal from a distance contract. A consumer has the right to withdraw from a contract concluded at a distance or away from business premises without giving a reason within 14 days of receiving the goods (Section 1829 of the Civil Code), with the exceptions under Section 1837 of the Civil Code (e.g. goods modified to the consumer’s wishes). The withdrawal must be sent to the Seller in writing or by e-mail. The Seller will refund payments received within 14 days of withdrawal, but not before the goods have been returned or proof of their dispatch has been provided.

11.2 Rights from defective performance. The consumer asserts rights from defective performance under Sections 2161 et seq. of the Civil Code; the statutory period is 24 months from receipt. The provisions of Sections 3.3, 4.3, 6 and 7.2 do not apply to the consumer if they would be less favourable to the consumer than the law.

11.3 Out-of-court dispute resolution. The body for out-of-court resolution of consumer disputes is the Czech Trade Inspection Authority (Česká obchodní inspekce), Štěpánská 567/15, 120 00 Prague 2, www.coi.cz. The consumer may also use the online dispute resolution platform at ec.europa.eu/consumers/odr.

12. Final provisions

If any provision of the GTC is invalid or ineffective, the other provisions remain in force. The Seller may change the GTC; the version in force on the day a specific contract is concluded applies to that contract.
